These Terms constitute a legally binding agreement between you and TheEdgeJournal.
1. Acceptance of Terms
By creating an account, accessing, or using the Services in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Services.
If you are accepting these Terms on behalf of an organization or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" and "your" will refer to that entity.
2. Eligibility & Accounts
You must be at least 18 years of age (or the age of majority in your jurisdiction, whichever is greater) to register for or use the Services. By using the Services, you represent and warrant that you meet this requirement.
When you create an account, you agree to:
- Provide accurate, current, and complete registration information
- Maintain and promptly update your account information
- Keep your login credentials confidential and not share them with any third party
- Accept full responsibility for all activity that occurs under your account
- Notify us immediately at Support@theedgejournal.com if you suspect any unauthorized access to or use of your account
We reserve the right to suspend or terminate accounts that contain false, inaccurate, or incomplete information, or that are otherwise created in violation of these Terms.
3. Description of Services
TheEdgeJournal is a cloud-based trading journal and performance analytics platform designed to help traders track, review, and improve their trading activity. The Services include, without limitation:
- Trade logging, tagging, and annotation tools
- Performance analytics, statistics, and reporting dashboards
- Risk management and position sizing calculators
- Journal and note-taking features
- AI-powered insights and coaching tools (where available)
- Import integrations with supported brokers and data sources
- Educational resources and community features (where available)
No financial advice. The Services are provided for informational, organizational, and educational purposes only. Nothing on the platform constitutes investment advice, financial advice, trading advice, or any other type of advice. We do not recommend the purchase or sale of any financial instrument, security, or asset.
4. License to Use
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for your personal or internal business purposes during your active subscription or free-tier access period.
This license does not include the right to: (a) resell or commercially exploit any part of the Services; (b) distribute, publicly display, or create derivative works based on our content without our express written consent; or (c) use any data mining, robots, or similar data gathering or extraction methods on the Services.
5. Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:
- Violate any applicable local, national, or international law or regulation
- Transmit any material that is unlawful, defamatory, obscene, offensive, or otherwise objectionable
- Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity
- Attempt to gain unauthorized access to, interfere with, damage, or disrupt any part of the Services, servers, databases, or networks connected to the Services
- Use automated bots, scrapers, crawlers, or other automated means to access the Services in excess of normal use
- Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Services or any part thereof
- Upload, transmit, or distribute any malware, viruses, or any other malicious code
- Use the Services in any manner that could damage, disable, overburden, or impair the infrastructure supporting the Services
- Share, resell, or sublicense access to the Services to third parties without our prior written consent
- Collect or harvest any personally identifiable information from the Services or use the Services to send unsolicited communications
We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates these provisions, including removing content, suspending or terminating accounts, and reporting to law enforcement authorities.
6. User Content
The Services allow you to submit, upload, publish, or otherwise make available content such as trade data, journal entries, notes, screenshots, and other materials ("User Content"). You retain ownership of your User Content.
By submitting User Content, you grant TheEdgeJournal a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, process, and display your User Content solely to the extent necessary to provide, maintain, and improve the Services. We will not sell your User Content to third parties.
You represent and warrant that: (a) you own or have the necessary rights to your User Content; (b) your User Content does not infringe or violate any third-party rights; and (c) your User Content complies with these Terms and all applicable laws.
7. Subscriptions & Billing
7.1 Subscription plans
Certain features of the Services require a paid subscription ("Paid Plan"). Details of available plans, features, and pricing are described on our pricing page and at checkout. We reserve the right to change our pricing at any time with reasonable advance notice to current subscribers.
7.2 Billing & payment
By subscribing to a Paid Plan, you authorize us (or our payment processor) to charge the payment method you provide on a recurring basis at the applicable subscription fee. Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. All fees are exclusive of applicable taxes, which will be added where required by law.
7.3 Failed payments
If a payment fails, we may attempt to process the charge again. If payment continues to fail, your access to Paid Plan features may be suspended or downgraded until payment is received.
7.4 No free trials
TheEdgeJournal does not offer free trials. All paid plans require payment at the time of sign-up. Access to paid features is granted immediately upon successful payment.
8. Refunds & Cancellations
TheEdgeJournal has a no-refund policy after sign-up. All payments are final and non-refundable. TheEdgeJournal is not responsible for forgotten cancellations — it is the customer's responsibility to cancel their subscription before the next renewal date.
9. Intellectual Property
All rights, title, and interest in and to the Services — including but not limited to software, design, text, graphics, logos, trademarks, and other proprietary content — are and will remain the exclusive property of TheEdgeJournal and its licensors. The Services are protected by copyright, trademark, and other intellectual property laws worldwide.
You may not copy, reproduce, modify, distribute, publicly display or perform, create derivative works from, or otherwise exploit any part of the Services without our prior written consent, except as expressly permitted by these Terms or applicable law.
Feedback, suggestions, or ideas you provide about the Services ("Feedback") are entirely voluntary. You grant TheEdgeJournal an irrevocable, perpetual, royalty-free, worldwide license to use any Feedback for any purpose without any obligation to you.
10. Third-Party Services & Links
The Services may contain links to third-party websites or integrate with third-party services (such as brokers, data providers, or payment processors). These integrations are provided for your convenience and do not constitute our endorsement of those services. We are not responsible for the content, policies, or practices of any third-party service. Your use of third-party services is governed by their respective terms and privacy policies.
11. Trading Risk Disclosure
Trading financial instruments — including stocks, futures, forex, options, cryptocurrencies, and other derivatives — involves substantial risk of loss and is not appropriate for all investors.
- Past performance of any trade, strategy, or system is not necessarily indicative of future results.
- You could lose some or all of your invested capital. You should not trade with money you cannot afford to lose.
- TheEdgeJournal does not manage client funds, execute trades on your behalf, or act as a broker-dealer or investment adviser.
- Nothing in the Services constitutes a recommendation to buy, sell, or hold any specific security or financial product.
- You are solely responsible for all trading decisions and their outcomes. We strongly recommend consulting a qualified financial professional before making any investment decisions.
12. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT: (A) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) THE RESULTS OBTAINED FROM USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE; OR (C) ANY ERRORS IN THE SERVICES WILL BE CORRECTED.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THEEDGEJOURNAL, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH: (A) YOUR USE OF OR INABILITY TO USE THE SERVICES; (B) ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (C) ANY TRADING LOSSES OR FINANCIAL DECISIONS MADE IN RELIANCE ON THE SERVICES; OR (D) ANY OTHER MATTER RELATING TO THE SERVICES.
IN NO EVENT WILL OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS EXCEED THE GREATER OF: (A) THE TOTAL AMOUNTS PAID BY YOU TO THEEDGEJOURNAL IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS (US$100).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY. THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU TO THE EXTENT PROHIBITED BY APPLICABLE LAW.
14. Indemnification
You agree to defend, indemnify, and hold harmless TheEdgeJournal, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your User Content; (c) your use of the Services; or (d) your violation of any rights of a third party.
15. Termination
We reserve the right to suspend or terminate your access to the Services, with or without notice, for any reason, including if we reasonably believe you have violated these Terms. Upon termination, your right to use the Services will immediately cease.
You may terminate your account at any time by following the account deletion process in your account settings or by contacting us at Support@theedgejournal.com. Account termination does not entitle you to any refund of prepaid fees except as required by applicable law.
Provisions of these Terms that by their nature should survive termination will survive, including sections relating to intellectual property, disclaimers, limitation of liability, and dispute resolution.
16. Dispute Resolution
16.1 Informal resolution
Before filing any formal legal claim, you agree to first contact us at Support@theedgejournal.com and attempt to resolve the dispute informally. We will try to resolve the issue within 30 days of receiving your notice.
16.2 Binding arbitration (where applicable)
If informal resolution fails and you are located in a jurisdiction where mandatory arbitration clauses are enforceable, any dispute arising out of or relating to these Terms or the Services may be resolved by binding arbitration rather than in court, except that you may assert claims in small claims court if your claims qualify. Nothing in this section prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm pending arbitration.
16.3 Class action waiver
To the extent permitted by applicable law, you agree to bring claims only in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.
16.4 EU / UK users
If you are a consumer resident in the European Union or United Kingdom, you may also submit disputes to the relevant alternative dispute resolution (ADR) body in your jurisdiction, and you retain the right to bring claims before the courts of your country of residence.
17. Governing Law
These Terms and any dispute arising under them will be governed by and construed in accordance with applicable law, without regard to conflict-of-law principles. Nothing in this section limits any consumer rights you may have under the mandatory laws of your country of residence.
18. Changes to Terms
We may modify these Terms from time to time. When we make material changes, we will provide reasonable advance notice by posting a prominent notice on our website, sending an email to registered users, or by other means consistent with applicable law. We will also update the "Last updated" date at the top of this page.
Your continued use of the Services after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Services before the effective date.
19. General Provisions
- Entire agreement. These Terms, together with our Privacy Policy and any additional terms presented at checkout, constitute the entire agreement between you and TheEdgeJournal regarding the Services and supersede all prior agreements.
- Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
- Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
- Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations freely.
- No agency. Nothing in these Terms creates a partnership, joint venture, agency, franchise, or employment relationship between you and TheEdgeJournal.
- Force majeure. We will not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including acts of God, natural disasters, pandemics, war, or governmental actions.
